Terms of Service

1. Acceptance
These Terms of Service ("Terms") govern your use of the EcomWeb website and the services we provide ("Services"). By using the site or engaging EcomWeb ("we", "us") for a project, you agree to these Terms. Specific projects are also governed by the individual statement of work ("SOW") or written engagement agreement signed between you and EcomWeb. In case of conflict, the SOW prevails over these Terms for that engagement.
2. Services
We provide custom website and e-commerce development services, including design, engineering, AI integration, and post-launch support. Each engagement starts with a free discovery conversation and a written quote describing scope, timeline, deliverables, and price.
3. Engagement and payment
- Quote validity: quotes are valid for 30 days from the date issued unless stated otherwise.
- Payment: unless otherwise stated, projects are payable as 50 % advance / 50 % on delivery. Enterprise engagements may have milestone-based schedules in the SOW.
- Currency and tax: all amounts are in Indian Rupees (₹) and exclusive of applicable taxes (GST or equivalent), which will be added at the prevailing rate on the invoice.
- Late payment: overdue invoices may attract interest at the rate permitted by law.
4. Scope changes
Material changes to a project's scope after the SOW is signed will be handled through a written change order specifying the additional cost and revised timeline.
5. Intellectual property
5.1 Code ownership
On full payment for a project, all custom source code we write specifically for you under the SOW transfers to you, including the right to host, modify, and distribute it. Pre-existing libraries, open-source components, and third-party services remain governed by their respective licenses.
5.2 Our retained rights
We retain ownership of: (a) general know-how, methodologies, and reusable non-client-specific components developed across engagements; (b) anonymized learnings and improvements to our practice. We may showcase the existence of an engagement (project name and visual outcomes) in a portfolio with your permission.
5.3 Third-party services and APIs
Where the deliverable depends on third-party services (cloud hosting, payment gateways, AI APIs, email providers, etc.), you are responsible for the accounts, keys, and ongoing fees for those services. We will document the dependencies in the SOW and at hand-off.
6. Confidentiality
Each party will treat as confidential any non-public information disclosed by the other in connection with an engagement. Confidential information will only be used for the purposes of performing the engagement and will be protected with at least the same degree of care that the receiving party uses for its own confidential information. Confidentiality obligations survive termination of the engagement for three years.
7. Acceptance and revisions
Each plan includes a defined number of revisions. Revisions beyond that allotment are billable at our standard rate. Deliverables are deemed accepted seven days after delivery unless you provide written feedback identifying specific issues to address.
8. Warranty
We warrant that the Services will be performed in a professional and workmanlike manner consistent with industry standards. Beyond this warranty, the Services and deliverables are provided "as is" without further warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
9. Limitation of liability
To the maximum extent permitted by law, EcomWeb's total cumulative liability arising out of or related to a project will not exceed the fees paid by you for that project in the twelve months preceding the event giving rise to the claim. EcomWeb will not be liable for any indirect, incidental, consequential, special, or exemplary damages, including lost profits or revenue, even if advised of the possibility of such damages.
10. Indemnification
You agree to indemnify and hold EcomWeb harmless from claims arising out of (a) content, materials, or instructions you provide to us; (b) your use of the delivered work after acceptance; or (c) your breach of these Terms or the SOW.
11. Termination
Either party may terminate an engagement for material breach if the breach is not cured within 14 days of written notice. On termination, you will pay for all work completed up to the termination date, and we will deliver the completed work product to you upon receipt of payment.
12. Governing law and disputes
These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms or any engagement will be subject to the exclusive jurisdiction of the courts at the location specified in the SOW (default: courts of competent jurisdiction in India).
13. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top reflects the current version. Continued use of the site or Services after material changes constitutes acceptance of the updated Terms.
